END-USER LICENSE AGREEMENT

This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and PTN Accounting LLC("Company," "we," or "us") concerning your use of the BI Data software application ("App"). By installing, accessing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install, access, or use the App.

1. License Grant

The Company grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the App solely for your internal business purposes, in accordance with this Agreement.

2. Scope of Use

The App enables you to access, retrieve, and analyze data from your QuickBooks Online (QBO) account for analytics purposes. You may only use the App to retrieve QBO data that you are authorized to access.

3. Restrictions

You agree not to:

  • Modify, reverse engineer, decompile, or disassemble the App.

  • Use the App in any manner that violates QuickBooks Online’s Terms of Service or applicable laws.

  • Share, sublicense, rent, lease, or distribute the App or make it available to any third party.

  • Use the App to create any derivative works or for purposes not expressly authorized by this Agreement.

4. User Data and Privacy

  • Data Collection: The app retrieves data from your QBO account solely for analytics purposes, as you authorized.

  • Data Storage: Data pulled from QBO will be stored on a secured server managed by the Google BigQuery Platform 

  • Data Protection: We take commercially reasonable steps to protect your data. However, you acknowledge and agree that the Company is not liable for any unauthorized access or use of data.

5. Intellectual Property

All rights, title, and interest in and to the App, including any intellectual property rights therein, are and shall remain the exclusive property of the Company. This Agreement does not convey to you any rights of ownership in the App.

6. Third-Party Services and Data Access

Your use of the App requires access to third-party services, including QBO. You acknowledge that:

  • You must comply with the terms of service of QBO and other relevant third-party providers.

  • We are not responsible for any issues or restrictions arising from your use of third-party services.

7. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate immediately without notice if you fail to comply with any terms of this Agreement. Upon termination, you must cease all use of the App and delete all copies of the App.

8. Disclaimer of Warranties

The App is provided "as is" and "as available," without warranty of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the App will be error-free, uninterrupted, secure, or free from viruses or other harmful components.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of data, loss of business, or lost profits, arising out of or in connection with your use of or inability to use the App.

10. Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any claims, liabilities, damages, judgments, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the App, any violation of this Agreement, or any violation of applicable law.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of Florida, without regard to its conflict of law principles.

12. Amendments to Agreement

The Company reserves the right to amend or modify this Agreement at any time. Your continued use of the App after any such changes constitutes your acceptance of the modified terms.
